A May 2026 discussion explored an LLP pilot that could later become a private limited company after meeting agreed milestones. The operating model was still evolving, as were the partners’ contributions. Replies suggested treating founder ownership and invested capital separately, rather than combining both into a single equity calculation.
The more detailed advice concerned future disagreements: decision rights, deadlocks, IP ownership, exits and triggers for changing the structure. One partner might eventually bring more business, another become operationally indispensable, and another want liquidity. The thread’s useful lesson was to account for those shifts while everyone was still aligned.
